Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Apparae service (the "Service") operated by HumanAI Ventures Inc.("Apparae," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Apparae is an autonomous AI agency: a platform of AI agents that execute marketing, product, engineering, and operational tasks on your behalf, against third-party services you connect (social platforms, email, code repositories, payment processors, etc.). You direct the agents through chat, forms, and standing instructions. The agents act only within the scope you authorize.

2. Account eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use Apparae. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your responsibilities

  • Accurate information. You must provide accurate, current, and complete information when creating your account and keep it up to date.
  • Account security. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.
  • Content ownership + rights. You represent that you own or have the necessary rights to any content you upload, connect, or direct Apparae agents to publish on your behalf.
  • Third-party terms.When Apparae agents act against services you connect (for example, publishing to your Facebook Page or Instagram Business account), you remain bound by those services' own terms. Apparae acts only on your explicit or standing-order instructions.
  • Compliance. You will use Apparae in compliance with applicable laws, including data protection, spam, intellectual property, and advertising laws.

4. Prohibited uses

You will not, and will not permit anyone else to:

  • Use the Service to send spam or unsolicited bulk messages
  • Publish content that is illegal, defamatory, harassing, hateful, or infringing
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service to scrape, harvest, or otherwise misuse data from third-party platforms in violation of those platforms' terms
  • Reverse engineer, decompile, or extract the source code of the Service (except as expressly permitted by applicable law)
  • Interfere with or disrupt the Service or the servers and networks connected to the Service
  • Circumvent any rate limits, access controls, or usage caps
  • Use the Service to build a competing product
  • Use the Service for any purpose that violates applicable law

5. Fees and billing

Apparae is offered on a subscription basis. Current pricing is published at apparae.com/pricing. Fees are billed in advance for each billing period and are non-refundable except as required by law or as stated in the refund policy at apparae.com/refund. Some features may incur usage-based charges (for example, per-post charges on social platforms that meter API calls). We will notify you of any material pricing change at least 30 days in advance by email to your account address.

6. Intellectual property

6.1 Your content

You retain all right, title, and interest in and to the content you upload to Apparae and to the content Apparae agents generate on your behalf (your "Content"). You grant Apparae a limited, non-exclusive, worldwide license to host, process, transmit, and display your Content solely to operate and provide the Service.

6.2 The Apparae platform

Apparae and HumanAI Ventures Inc. retain all right, title, and interest in the Apparae platform, software, agent orchestration, user interface, and documentation. Nothing in these Terms transfers any intellectual property rights in the platform to you.

6.3 Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use the feedback for any purpose without obligation to you.

7. AI-generated content disclaimer

Apparae uses large language models (currently Google Gemini) to generate content on your behalf. AI-generated content may contain errors, inaccuracies, biases, or hallucinations. You are responsible for reviewing all content before it is published or acted upon. Apparae provides human-in-the-loop approval gates for most publishing actions; you are responsible for using them.

8. Third-party services

Apparae integrates with third-party services (social platforms, payment processors, email providers, etc.). Your use of those services is governed by their own terms and privacy policies. Apparae is not responsible for the acts or omissions of any third-party service, including outages, price changes, policy changes, or account suspensions imposed by those services.

9. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. APPARAE DOES NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, APPROPRIATE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANAI VENTURES INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.

11. Indemnification

You will indemnify, defend, and hold harmless Apparae and HumanAI Ventures Inc. from any claim, damage, loss, or expense arising out of (a) your Content, (b) your breach of these Terms, or (c) your violation of any law or the rights of a third party.

12. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your access to the Service if you materially breach these Terms, if we are required to do so by law, or if continuing to provide the Service to you would expose Apparae to legal liability. On termination, we will delete your data as described in our Privacy Policy and Data Deletion page.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email to your account address at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

15. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Apparae regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
